Revised: January 9, 2014 Terms and Conditions, LLC, a Colorado limited liability company ("Memolink") operates a rewards program (the "Program") at (the "Program Site"). You must be at least 18 years old, be a United States resident and have a valid e-mail address to enroll in the Program. Enrollment and participation in the Program is open to individuals only (no corporations or other legal entities). If a bonus is offered to you for joining the Program and confirming your email address (such as a $5 bonus), you must earn a total of $25 worth of points (the $5 bonus plus an additional $20 worth of points) in order to redeem for a reward.

Each individual is allowed only one Memolink account. Further, only one Memolink account is allowed per household.

Any individual who registers for more than one Memolink account or violates the one account per household requirement shall forfeit rights to all points and pending rewards earned under all accounts and shall be required to reimburse Memolionk for any rewards already received. Memolink will have the sole discretion to determine if an individual has registered for or is maintaining more than one account or has violated the one account per household requirement. All accounts in question may be terminated by Memolink in such cases.

Each individual who enrolls in the Program (individually, a "Member" and collectively, the "Members") is responsible for providing true and accurate information as requested herein and in the enrollment process and for updating any such information to ensure its continued accuracy. Receipt of inaccurate or misleading information will adversely affect the ability of Memolink to operate the Program and provide services to its Members. In this regard, Memolink reserves the right to terminate a Member’s account and membership in the Program if misleading or intentionally incorrect personal information is provided to us or any of our Partners or if any of our Partner's informs us that such Member has engaged in fraudulent or other improper conduct.

By virtue of having a Memolink account, Members agree not to 'spam' other individuals by sending them unwanted e-mails to solicit their membership in the Program. Refusal to abide by this or any other rule may result in losing your referrals and/or canceling your membership.

All points earned by Members and other activity in a Members' account are subject to review and adjustment at any time by Memolink at its sole discretion. These adjustments include, without limitation, reversals of points credited in error to a Member's account through technical problems, mistakes or other reasons and reversals of points credited for purchases that are later returned or cancelled by the Member. If you do not agree to adjustments made to your account, your only recourse will be to terminate your membership in the Program. Memolink reserves the right to terminate any account for abusive or fraudulent activity, or if the Member is no longer reachable at the e-mail address provided.

If a Member is able to earn more than 16,000 points in one transaction, Memolink has the right to hold any rewards redeemed from that transaction for up to 90 days or until the merchant verifies that such transaction is valid, whichever is longer..

Points earned by a Member are for that Member’s account only and cannot be transferred or combined with other Member’s points for any purpose.

Memolink reserves the right to modify or discontinue the Program with or without notice to Members. Memolink will not be liable to any Member or any third party should Memolink exercise its right to modify or discontinue the Program. Memolink will not be liable for any pending rewards or points associated with any account should that account be disabled or terminated for any reason.

Memolink reserves the right to withhold points due to a Member, at their sole discretion, if Memolink has not received payment from the merchant. Once payment is received from the merchant, Memolink will credit the Member's account for the points earned for the purchase. If a merchant denies payment to Memolink for any reason, including but not limited to, using a coupon not found on, dropped tracking, or the purchase of non-commissionable items, Memolink is not required to award points to the Member.

Once you become a Member of Memolink with a valid e-mail address, you will create an account with a password chosen by you. You are responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. The Member agrees to immediately notify Memolink of any unauthorized use of the Member's account or any other breach of security known to the Member.

Members must respond to and complete offers via the online link provided by Memolink. Offers completed via telephone, postal mail or directly from a Partner's website may not be valid unless specifically stated otherwise within said offer.

Memolink is under no obligation to provide Members with any particular number of point earning opportunities or send messages to Members.

In addition, Memolink may remove points from a Members account and/or and terminate said account if the Member has violated these Terms and Conditions, the terms of the Partner offer or the Memolink Program policies or rules, as determined by Memolink in its sole discretion. Memolink also reserves the right to terminate any account for any reason with or without notice to that Member. Any account terminated by Memolink forfeits all points and pending reward orders.

Memolink shall be the sole determiner in cases of suspected violations and any decision it makes relating to termination of a Member's account (including forfeiture of points and pending rewards) shall be final and binding.

Members are required to log-in to the Memolink site AND complete at least one transaction, i.e. either earn additional points or redeem points for a reward, during any continuous 90 day period. If a Member fails to log-in to the Memolink site and complete at least one such transaction during any continuous 90 day period, Memolink will deem that specific account inactive and may, at its sole discretion, remove all points from that account at any time after the date that the Member becomes inactive. Members may request their account be reactivated at anytime by writing to Customer Service; however, points removed from the account prior to reactivation will not be credited to such account.

Members who are inactive for any consecutive 120 day span will lose any accumulated Memogold or other status that they have acquired.

Points awarded under the Program shall have no cash value. Points may be used only for the redemption of merchandise and services offered through redemption sites listed on the Program Site. The number of points awarded for each transaction shall be determined by the participating merchant and Memolink.

Memolink reserves the right to modify the Program and/or future points awarded for various types of transactions by providing notice of such modifications on the Program Site. Memolink further reserves the right to modify, add to, or reduce the redemption sites and merchandise and services available for redemption by making such modifications, additions, or deletions on the Program Site.

Points, accounts and rewards may not be bartered or sold.

Memolink membership and the related Memolink account will terminate immediately in the event of Member’s death.

Each Member is responsible for reviewing his or her account to verify that all activity is properly recorded, including receiving credit for transactions completed by such Member. A Member has 90 days from the date of a transaction to file a complaint with Memolink (by email to customer support) if they are missing points from such transaction. If a complaint is not submitted within such 90 day period, the Member's account will be considered correct and the missing points will not be awarded.

Rewards that are redeemed by Members will be sent out twice per month. Rewards ordered from the 1st through the 15th of the month will be processed and mailed on or about the 30th of that month. Rewards ordered from the 16th through the 31st of the month will be processed and mailed on or about the 15th of the following month. If you are ordering a reward that is sent via mail, you will most likely receive your reward within 2-4 days after it has been processed, based on the postal delivery schedule. We have the right to hold rewards until all reversal periods from merchants have expired.

For Members who have installed the Memolink toolbar (the "Toolbar"), such Members assume all risks of installing and using the Toolbar, including any damage caused to the Members' computers. Memolink is not responsible for any such damage and Members may not assert any claims against Memolink related to the installation or use of the Toolbar. Additionally, Members using the Toolbar to shop (rather than shopping through their Memolink account) will not be entitled to any promotional or bonus point offers; rather, the standard points offered through the Toolbar will apply. Memolink does not warrant or represent that Members will earn any specific number of points or any specific merchandise or services will be available for redemption.

Memolink makes no representations or warranties, express or implied, with regard to any merchandise or services obtained by Members through the redemption of points under the Program. Only those guarantees, warranties, and representations, if any, offered by the manufacturers of merchandise or suppliers of services may be relied upon by Members.

Each Member expressly agrees that use of Program Site is at the Member's sole risk.

Memolink makes no guarantees that the Program Site will be available uninterrupted, secure or error-free. Memolink is not responsible for your inability to connect to the Internet, log into the Program Site, or access your Memolink account. supports the following browsers:

For best results, we recommend all members use these browsers when navigating the Memolink website and completing any offers to earn points. While other browsers may provide access and usability, we cannot guarantee optimal results and may not be able to support user issues that occur with other browsers.

Limitations on Liability

Memolink, its managers, directors, officers, members, employees and agents shall not be liable for any damages of any type, including, without limitation, direct, indirect, special, consequential, or otherwise, arising out of, or in any way connected with Member’s participation in the Program, the use of information provided by Members under the Program, or the merchandise or services obtained by Members through the redemption of points under the Program.

Memolink is not responsible for losses that result from participating or inability to participate in the Program or any offers from Memolink or Memolink Partners or reliance on or use of information, services or merchandise purchased or redeemed on or through the Program. Furthermore, Memolink assumes no liability for changes or discontinuances of services from providers which may affect or otherwise affect accrual of points.

Robots and other Automated Processes

The use of automated scripts, robots, or other similar means in connection with the Program is strictly prohibited and will result in the disabling of accounts involved in such activities and the loss of all points and pending rewards. Memolink also reserves the right to block users determined to have benefited from the use of automated scripts, robots or other similar means and to report such individuals to law enforcement.

Members shall not tamper, hack, spoof, copy, modify, or otherwise corrupt the administration, security, or proper function of any part of Program Site.

If you send us content (e.g., community center content, testimonials, or contests) or you send us creative suggestions, ideas, notes, drawings, or other information (collectively, the "Submissions"), the Submissions shall be owned solely by Memolink. Memolink reserves the right to edit testimonials for consideration of brevity, but shall not attempt to edit or change the meaning of said testimonial.

None of the Submissions shall be subject to any obligation of confidence on the part of Memolink, and Memolink shall not be liable for any use or disclosure of any Submissions. Without limitation of the foregoing, Memolink shall exclusively own all now known or hereafter existing rights to the Submissions of every kind and nature throughout the universe and shall be entitled to unrestricted use of the Submissions for any purpose whatsoever, commercial or otherwise, without compensation to the provider of the Submissions.

The Program and all terms and conditions set forth above shall be governed and construed in accordance with the laws of the State of Colorado without reference to its conflict of law provisions. Memolink reserves the right to make changes in these terms and conditions or any Program policies or rules at any time by posting the changes on the Program Site. The changes shall become effective upon posting on the Program Site. It is the responsibility of the Member to check the Program Site regularly for such changes.

The Terms and Conditions set forth above, the Privacy Policy and any rules and policies posted on the Program Site shall constitute the entire understanding between Memolink and each Member enrolled and participating in the Program.

Memolink's Referral Program

In addition to the terms and conditions set forth above, the following specific terms and conditions apply to the referral of friends to the Program:

Subject to the terms set forth below, if a member refers/invites a friend through the url, /, and the friend joins the Program through the email sent to the friend from Memolink, the member will receive bonus points equal to 10% of their friend’s "shopping points," as defined below, earned during the one year period (365 days) after the friend joins

You may only invite people that you personally know (however, these friends may not be members of the same household). does not condone spamming. Please do not SPAM your friends. Memolink is CAN-SPAM compliant. Also, see Memolink's Privacy Policy.

A friend that you refer is considered “successfully joined” when he/she confirms his/her email address. A shopping point is defined as a point earned from a purchase at a store. Examples of stores are located under the ”shop” section in the top navigation bar. Shopping points do not include any other types of point earning opportunities, including, without limitation, surveys, site of the day, trivia, Memolink Lotto and bonus points for referring/inviting a friend.

A member must be an active member throughout the year to receive 10% of their friend's referral’s points. An active member for this purpose is defined as completing any offer that provides the member points in the last 6 months. This includes shopping, survey, reading email and free points offers. However, points received from referring a friend do not count for being active.

If the friend's points are reversed for any reason (such as returns), the 10% of points the member earned will be reversed as well. Memolink has the right to remove all points from a Member’s account for abusive or fraudulent referral/ invitation activity, including but not limited to, referring/inviting fake email addresses (which include email addresses created by the Member) or engaging in conduct that constitutes a breach of these specific terms for referrals or the other terms above. A member will receive 5 points per unique email address referred/invited, subject to a maximum of 100 referrals.

Memolink's Email & Survey Free Points

Memolink gives out free points for clicking on emails & surveys. You may only receive these Click Through points once per email. You may also only receive these Click Through points once per survey per day. If a technical error occurs which allows a user to click on the email or survey multiple times and receive the Click Through points or survey completion points multiple times, Memolink has the right to reverse these points from a member's account. These points can be reversed at Memolink's sole discretion.
